This is a general-purpose draft template, not a finished legal document. Terms for a company that moves customer funds should be reviewed by a lawyer familiar with Indian payments regulation before they're relied on in production, especially the sections on liability, fees, and settlement cycles.

Acceptance of terms

These Terms of Service ("Terms") govern access to and use of the website and platform operated by Roksi Pay Technologies Private Limited ("Roksi Pay," "we," "us," or "our"). By creating an account, accessing our dashboard, or using our settlement services, your business agrees to be bound by these Terms. If you do not agree, do not use the service.

Eligibility

Roksi Pay is a business-to-business service. It is intended for use by registered businesses and their authorized representatives, not by individual consumers. By using the service, you confirm that you're authorized to act on behalf of the business you represent and that the business is legally permitted to hold and move the funds in question.

The service

Roksi Pay provides a payment settlement interface that allows businesses to collect, route, settle, and reconcile payments across supported rails, including UPI, NEFT, RTGS, and IMPS. We act as a technology and settlement infrastructure provider. We are not a bank, and funds are ultimately held and moved through the banking and payment partners connected to the platform, subject to their own applicable terms and regulatory requirements.

We may add, modify, or discontinue features of the service over time. We'll aim to give reasonable notice of material changes that affect how your business uses the platform.

Accounts & onboarding

  • You must provide accurate, current information about your business during onboarding, including registration details and authorized signatories.
  • We may carry out standard verification checks before activating settlement capabilities, and may request additional documentation at any point to remain compliant with applicable law.
  • You're responsible for keeping your account credentials secure and for all activity that occurs under your account.
  • Notify us promptly if you suspect unauthorized access to your account.

Your responsibilities

By using Roksi Pay, your business agrees that it will:

  • Use the platform only for lawful business payments, and not for any fraudulent, deceptive, or illegal purpose
  • Provide accurate payment and account instructions, since incorrect details can result in misdirected or delayed settlement
  • Comply with applicable tax, accounting, and financial regulations relevant to your own business
  • Not attempt to interfere with, reverse-engineer, or disrupt the platform's infrastructure or security

Fees & settlement cycles

Applicable fees, settlement cycle timing, and any minimum or maximum transaction limits will be set out separately in your service agreement or account dashboard, and may vary by plan or by payment rail used. We will not change fees for an existing agreement without reasonable prior notice.

Suspension & termination

We may suspend or terminate access to the service if we reasonably believe an account is being used fraudulently, in violation of these Terms, or in a way that creates legal or security risk for Roksi Pay, our banking partners, or other users. Where possible, we'll provide notice and an opportunity to resolve the issue first. You may close your account at any time, subject to completing any settlements already in progress.

Limitation of liability

To the maximum extent permitted by law, Roksi Pay is not liable for indirect, incidental, or consequential damages arising from use of the platform, including delays caused by third-party banking networks or payment rails outside our control. Nothing in these Terms is intended to limit liability in ways not permitted under applicable Indian law.

Indemnification

Your business agrees to indemnify and hold Roksi Pay harmless from claims, losses, or damages arising from your misuse of the platform, breach of these Terms, or violation of applicable law, except where such claims arise from our own negligence or breach of these Terms.

Intellectual property

The Roksi Pay platform, including its software, design, and branding, is the property of Roksi Pay Technologies Private Limited. These Terms don't grant you any ownership rights in the platform — only a limited right to use it for your business's own payment settlement needs.

Governing law

These Terms are governed by the laws of India. Any disputes arising from these Terms or use of the platform will be subject to the exclusive jurisdiction of the courts of Lucknow, Uttar Pradesh, unless otherwise required by applicable law.

Changes to these terms

We may update these Terms from time to time. If we make material changes, we'll update the "last updated" date above and notify active account holders through the platform or by email.
